In 2014, about 17,180 resolutions were passed in AGMs, EGMs, postal ballots and court-convened meetings of 1,447 companies.
As per NSE Infobase data, of 11,096 resolutions where voting details are available, shareholders voted against in 448 cases. However, about 443 of these 448 resolutions got passed. Of the 12,902 resolutions, where voting details are available, non-institutional public shareholders voted against in 318 cases. However, 228 of these 318 cases still got passed.
Of the resolutions which were voted against, the maximum resolutions pertained to ‘board changes’ at 16, followed by ‘memorandum of understanding/ agreements’ at 13. Most number of resolutions tabled in 2014 related to ‘board changes’ at a staggering 8,210. Resolutions with regards to auditors stood at 2,071, while resolutions related to financial results and board remuneration stood at 1,443 and 1,152, respectively.
