Adani Enterprises has acquired a 100 per cent stake in DP Jain TOT Toll Roads at an enterprise value of Rs 1,342 crore. In an exchange filing, Adani Enterprises said that the transaction is carried out through Adani Road Transport Ltd, a subsidiary of the company. 

Adani Enterprises acquired the Toll Road from D P Jain & Co Infrastructure. The company said that the transaction is subject to regulatory approvals.

D P Jain TOT Toll Roads business

D P Jain TOT Toll Roads was incorporated in May 2021as  a special purpose vehicle for tolling, operation, maintenance and transfer of the Palanpur – Radhanpur- Samkhiyali section of NH-27 in Gujarat, and has a concession period of 20 years. 

D P Jain & Co Infrastructure got the toll project at the highest bid of  Rs 1,251 crore. According to an ICRA report, the total cost of the project is estimated to be Rs. 1,480 crore, which was proposed to be funded by Rs. 1,180 crore debt and Rs. 300 crore promoter contribution.

Adani Enterprises Q1FY26 performance 

Adani Enterprises reported a total income of Rs 22,437 crore in the frist quarter of FY26, growing 14 per cent YoY. The company reported a reported a 50 per cent PAT growth in the quarter, totalling at Rs 1,458 crore. 

Adani Road Transport, the subsidiary of the company that oversees the road infrastructure part of the business, has 8 under construction projects at the end of the June quarter. The company said that six projects completed by the company are operational at the end of the quarter 

Further the company stated that the revenue of Adani Road Transport stood at Rs 2,268 crore at the in Q1 FY26, growing 14 per cent YoY. The subsidiary’s profit after tax in the same period was Rs 494 crore, growing 44 per cent YoY
