Bandhan Bank on Monday informed the stock exchange that it has concluded the sale of its identified non-performing assets (NPAs) and written-off portfolios with principal outstanding worth Rs 6872.32 crore to Asset Reconstruction Companies India Limited (Arcil) and Phoenix ARC.

The NPA belonging to the Emerging Entrepreneurs Business (EEB) and Aspiring Business Group (ABG) were sold following the approval of its Board of Directors and in compliance with SEBI LODR provisions.

Details of the transaction

The bank sold its unsecured NPA portfolio, with principal outstanding of Rs 3,165.25 crore as of November 30, 2025, to ARCIL for a consideration of Rs 569.75 crore on a security receipts (SR) basis under the Swiss Challenge method.

ARCIL subscribed to 53.25% of SRs amounting to Rs 303.39 crore, while the Bank retained 46.75% worth Rs 266.36 crore.

Bank sells of its unsecured written-off loan portfolio

Additionally, the Bank sold its unsecured written-off loan portfolio, with principal outstanding of Rs 3,707.11 crore as of November 30, 2025, to Phoenix ARC Private Limited for Rs 331.97 crore on an SR basis through an auction process.

Phoenix subscribed to 37.84% of SRs amounting to Rs 125.60 crore, while the Bank subscribed to 62.16% worth Rs 206.37 crore.
