Bharti Airtel to simplify group holding structure

The country's largest telecom operator Bharti Airtel on Wednesday said it is restructuring its subsidiaries in a bid to simplify the group holding structure.

The country’s largest telecom operator Bharti Airtel on Wednesday said it is restructuring its subsidiaries in a bid to simplify the group holding structure.

As per the decision, reached by its Board at a meeting held on February 7, Bharti’s investments in its subsidiaries in Mauritius, Netherlands and Singapore will be held by its wholly-owned subsidiary, which is based in Mauritius. The recast is subject to regulatory approvals which the company expects to get by March 31, 2017.

In a regulatory filing, Bharti said its investments in its wholly-owned subsidiaries Bharti Airtel International (Mauritius) (BAIM), Mauritius, Bharti Airtel International (Netherlands) (BAIN), Netherlands and Bharti International (Singapore) Pte (BISPL), Singapore will be held entirely by Network i2i (Ni2i), Mauritius, another wholly-owned subsidiary of the company. Ni2i will continue to be a wholly-owned subsidiary of Bharti and BAIN will continue to hold the shareholding in African operating companies, it added.

Besides, Bharti’s investments in its wholly-owned subsidiaries Bharti Airtel (USA), Bharti Airtel (Hong Kong) and Bharti Airtel (UK) will be held entirely by BISPL, which is also a wholly owned subsidiary of the company.

The resultant vertical step-by-step shareholding structure envisaged by the above restructuring aims to offer number of benefits including delayering and simplification of structure and synergies without any change in ultimate ownership ,” Bharti explained.
