Vishal Mega Mart‘s board has approved the reappointment of Gunender Kapur as the company’s Managing Director and Chief Executive Officer for a fresh five-year term, according to a regulatory filing made by the company.

The board, at a meeting held on August 21, cleared Kapur’s reappointment with effect from September 1, 2026. His new term will run until August 31, 2031, the filing said. Kapur will also be redesignated as Founder, Managing Director and Chief Executive Officer of the company.

Kapur was first appointed to the role in June 2024 for a three-year term that was due to end on June 26, 2027. The latest decision effectively brings forward his reappointment, more than nine months before his current term was set to lapse.

The move was based on a recommendation from the company’s Nomination and Remuneration Committee, the filing said, and remains subject to approval by shareholders.

Gunender Kapur’s education, 42-year career and previous roles

In a disclosure filed separately as an annexure, the company said Kapur is not barred from holding the office of director under any order issued by the Securities and Exchange Board of India or any other authority.

Kapur holds an engineering degree with honours from the Birla Institute of Technology and Science, along with a master’s degree in business administration from the University of Delhi. He has spent more than 42 years in management and investment roles across the consumer and retail sectors, according to the company.

His earlier stints include Hindustan Lever Limited, Unilever Nigeria PLC, Reliance Industries Limited and TPG Capital, the filing said. The company also clarified that Kapur is not related to any of its other directors.
