Tata Chem in talks with Gujarat Ambuja for sale of cement unit

Mumbai, Feb 20 : Tata Chemicals Ltd is in talks with Gujarat Ambuja Cement (GACL) for selling off its cement unit at Mithapur, Gujarat. Sources say that the deal, which is being handled by Infrastructure and Lease Financing Services (ILFS), is in the final stages of negotiation.

The proposed divestment is of Tata Chemicals' restructuring strategy, under which the company has identified soda ash, sodium bicarbonate, salt and urea as its core businesses. Cement, along with caustic soda, hydrochloric acid and chlorine have been identified as non-priority areas. Tata Chemicals and GACL did not, however, respond to faxed queries from The Financial Express.Analysts say that the deal, if it goes through, will be a win-win one for both parties, as the Mithapur cement unit is a four-lakh tonne capacity plant catering to the local market, which makes it a viable proposition for those already having a strong presence in the state. Moreover, Tata Chemicals has a marketing tie-up with ACC for cement, which after the transfer of ACC shares to Gujarat Ambuja continues to be in place. Tata Chemicals manufactures Pozzolana Portland cement which accounts for 3.4 per cent of the total company turnover. Analysts have pointed out that outright sale of the plant could fetch close to Rs 200 crorefor the company. Moreover, following the merger of the wholly-owned subsidiary, Sabras Investments and Trading with the parent, Tata Chem has already received a Rs 200-crore inflow out of the sale of its holding in ACC to Gujarat Ambuja. Sabras held 65.65 lakh shares of ACC, which was sold to Gujarat Ambuja at Rs 370 per share during the current year. Tata Chemicals has also evinced interest in picking up government stake in two state-run fertiliser firms - National Fertilizers Ltd and Madras Fertilisers Ltd. The company is likely to gain from changes in the fertiliser policy expected to be part of the forthcoming Budget proposals, sources said.
