Mumbai, Nov 13: Syngenta India Ltd - the agribusiness arm of Novartis India - has come into existence coinciding with its global formation. The global transaction comprising the regrouping of Novartis's agribusiness with Zeneca's agrochemicals business has on Monday created the world's leading agribusiness company, Syngenta, operating across all major areas of crop protection and seeds, a company statement said.Syngenta India expects the process of listing at the Bombay Stock Exchange (BSE) to be completed by the year-end. BSE has advised that the trading in the equity shares of Syngenta India will take place in the specified group (`A' group) as and when its shares are listed. The demerger of the agribusiness arm, which was approved by the shareholders at an extraordinary general meeting, was part of an effort to revamp the group's domestic operations in line with global plans.
A Novartis India release said that the world-wide formation of Syngenta AG is now complete and trading in Syngenta AG shares is expected to commence on the Swiss, London and Stockholm exchanges and Syngenta ADSs on the New York Stock Exchange on Monday.
In India, the formal formation of Syngenta India was marked by filing the court order on Nov 9, 2000 with the registrar of companies, Maharashtra. All agribusiness employees were transferred from Novartis India to Syngenta India on existing terms and conditions, the release said.
The local demerger is operative retroactively from April 1, 2000, consequent to which Novartis India and Syngenta India will have separate annual accounts for the fiscal ended March 31 2001, the release added. In India, the Syngenta group will have three companies under its fold - Syngenta India Ltd based in Mumbai and Zeneca Agrochemicals and Zeneca Biosciences Pvt Ltd based at Chennai. The parent company has 51 per cent shareholding in Syngenta India and 100 per cent in Zeneca Agrochemicals Ltd and Zeneca Biosciences Pvt Ltd, a Syngenta India release said.
