Dunlop stumps FIs, wins accounts-adoption poll

Calcutta, Dec 1: Dunlop India Ltd on Wednesday won the poll conducted for the adoption of the profit and loss account for the 15-month period ended March 31, 1999, and the reports of the directors and the auditors, a press release of the company stated.

This was consequent to Life Insurance Corporation and Unit Trust of India asking for a poll on the company's accounts at the 72nd annual general meeting (AGM) held in Calcutta on Monday.

Dunlop secured over 60 per cent of the total 1,38,70,086 votes cast, in favour of adoption of the accounts.

According to the poll results, the company secured 83,24,420 votes in favour of the resolution and 55,45,666 votes were cast against the resolution. Of the 23 individual voters, 20 cast their votes in favour of the resolution and three against it. Four financial institutions voted against the resolution.

Respecting the philosophy of corporate democracy, the chairman of the AGM had accepted the request of the financial institutions for calling of a poll. Institutions had opposed the resolution on the accounts referring to the auditors' comments with qualifications, the release said.

"Auditors' comments are a reflection on the non-cooperation of the workers, because of which the records of the company could not be made available to the auditors, and not on the company's management. Poll results are a clear indication that the individual shareholders have trust in the company," the release quoted executive director YC Lumba as saying.
