Spice-Spanco tie-up to create India’s largest BPO firm

Spice Televentures Ltd, part of the $1.5 billion Spice Group and Spanco Telesystems and Solutions Ltd have merged their three domestic BPO entities to form the country’s largest domestic BPO company in terms of employees. The joint venture (JV) will see the merger of Omnia BPO Services Ltd (Spice Televentures subsidiary), Spanco BPO Services and Bharat BPO (existing JV of Omnia and Spanco Telesystems).

“One of the prime motives for the merger was to get the scale and leverage the complimentary skills of the merged entities,” said Pravin Kumar, CEO, Omnia BPO Services. The merged company will continue to be called Omnia BPO Services till a new name is coined for it, informed Kumar.

While Omnia had a good presence in the domestic travel and telecom sector, Spanco is strong in the BFSI vertical with Bharat BPO servicing Indian Railways. “We were trying to establish Omnia’s presence in the BFSI sector, in which Spanco is already strong with around 2,000 people. On the other hand, Spanco was not present in the travel and telecom sector. The merger will ensure a healthy presence in all high-growth verticals,” said Kumar.

The run rate for three companies put together is around Rs 12 crore. With an investment of over Rs 500 crore, the JV plans to increase its total employee strength from the current 10,000 people to around 15,000 employees by March 2009. Currently, the merged Omnia BPO has 7,000 seats in 18 centres, which will

be increased to 15,000 seats by March 2010 with a focus on Tier II and III cities.

“The winning chemistry between our management teams will provide an added impetus to our combined client base and resources in the future,” said Dilip Modi, chairman, Omnia BPO Services. Modi will also be the chairman of the new JV.

According to a study by Valuenotes Database, a Pune-based research firm, the domestic BPO industry will achieve revenues of Rs 22,800 crore in the next four years from Rs 6,900 crore in fiscal 2008. The client list of the JV spans CitiGroup, Reliance Money, Indian Railways, Air India, Idea Cellular, MTNL and Madhya Pradesh government Citizen Help Desk to name a few.
