The key to ending the six-year-old Bajaj family feud that is boiling over lies with Shishir Bajaj, says Rahul Bajaj, the senior most Bajaj family member and chairman of Bajaj Auto. “If they agree to the four terms laid out in the 2004 agreement, we can settle the issue,” Bajaj said.
The outbursts by Kushagra Bajaj, CEO, Bajaj Hindusthan, against his uncle Rahul Bajaj about his moves to control Bajaj Hindustan and induct his son, Sanjiv Bajaj, on to the board of the holding companies seem to have had little effect on Rahul Bajaj.
The senior Bajaj in unfazed and has stuck to his guns, putting the ball back squarely into the court of his brother, Shishir and nephew, Kushagra. Bajaj and his cousins, Shekhar, Shishir Bajaj hold Madhur and Niraj hold 75% in Bajaj Sevashram while 25%. Jamnalal Sons is a wholly owned subsidiary of Bajaj Sevasharam. Jamnalal Sons, in turn, holds 78% in Bachhraj Co Pvt Ltd and the remaining 22% is with the Aditya Birla Group and the Pittie family. Bachhraj holds 24.5% in Bajaj Hindusthan. How this holding should be treated remains unresolved.
The two companies, Bajaj Sevashram and Jamnalal Sons, control all assets of the Bajaj group and hold shares in all the major companies in the Bajaj Group including Bajaj Auto, Bajaj Electricals, Bajaj Hindusthan and Mukand Ltd. Bajaj said he had already suggested a formula to settle the dispute by setting up a mirror company of the existing Bacchraj Company, a New Bachhraj Company was a way out and nobody would lose out, not even the minority shareholders. Kushagra wanted the shares of Bajaj Hindustan held by Bajaj Auto transferred to him at a price below the market price and the difference in both the prices to be borne by Rahul Bajaj.
