Rolta gears up for global listing, to bring IT related business under one roof

Rolta india Ltd plans to bring all its information technology (IT) related business under one umbrella as part of its global listing plans.Officials said a board meeting has been convened next week to give final shape to the strategy.

The company had appointed Deloitte Haskings and Sells and M/S NN Raiji and Company, leading consulting firms, for restructuring various IT activities of the group into a coherent business model. As part of restructuring exercise software conversions division of Rolta design and Conversion Services Ltd (RDCS), an unlisted company, will be acquired and merged with Rolta India Ltd, officials said.

This acquisition will be made as per a scheme of arrangement under Section 391 to 394 of the Companies Act. Another wholly owned subsidiary Rolta Animation and Modeling Ltd will also be merged with Rolta India, officials added.

The next week's board meeting will also consider formal appointment of the two consulting firms to make valuation or exchange ratio report. The consulting firms will submit their report within a specified period, officials said.

The board will also appoint a committee of independent directors to interact with these firms and to furnish their recommendation to the board for necessary approval, officials added.
